Annual General Meeting Summary and Information About The Next Fans' Forum
The Board of Directors of Darlington 1883 Limited (Company) is delighted to report on the matters covered at the Annual General Meeting (Meeting), which was held yesterday at 6:30pm at Blackwell Grange Hotel.
Of the 227 separate shareholders, 68 separate votes were cast (either in attendance or by proxy) on the proposed resolutions. This represented 86.8% of the total voting rights available.
The following ordinary resolutions (requiring +50% of the voting poll) were passed with 100% ‘yes’ votes being received (actual wording modified below, for ease of understanding):
• To receive the Company's Annual Accounts for the financial year ended 30 June 2014
• To reappoint Darlington Football Club CIC as director of the Company, having retired by rotation in accordance with the Articles of Association
• To appoint Martin Jesper as director of the Company, who had initially resigned at the Meeting
• To appoint Dave Mills as director of the Company, who had initially resigned at the Meeting
• To waive statutory ‘pre-emption rights’ afforded to existing shareholders in accordance with Companies Act, should further equity up to £50,000 require to be introduced to the Company at any time before 30 June 2015
The following special resolution (requiring +75% of the voting poll) was passed with 100% ‘yes’ votes being received:
• To authorise the Directors to allot up to £50,000 of equity at any time before 30 June 2015 in accordance with the Articles of Association, and pursuant to the above ordinary resolution regarding existing shareholders’ pre-emption rights
On behalf of everyone connected with the Club, the Directors also extended their enormous thanks and gratitude to the significant contribution made by Laura Drew during her tenure, particularly during the times of financial uncertainty when she continued to support the medium term plans of the Club, rather than withdraw funds that she personally introduced to ensure that Darlington Football Club, and all its history, could continue to exist. Laura retired by rotation at the Meeting yesterday and did not seek to be reappointed. We wish Laura, and husband Mike, every success moving as they plan the arrival of their first child.
The Board would also like to thank everyone who attended the Meeting. The quality of the questions and overall contribution to proceedings demonstrated an excellent understanding of, and support for, the sustainable plans that the Directors are embedding, which is greatly appreciated.
Next week, on 17th December 2014, the Club will be holding its next Fans’ Forum commencing at 6:30pm at Blackwell Meadows. The Board will recap many of the areas covered at the AGM for the benefit of those who were either unable or not entitled to attend the Meeting.
In addition, the Board will be joined by Martin Gray and representatives from the playing staff who will no doubt contribute to a lively Q&A!
Following these presentations, and after a short interval break, Darlington fan and journalist Bob Cass will provide attendees with his recollections of the Club’s past and his thoughts on what the current regime provides for the fans moving forward.
