Voting for appointment of Directors now open

DFCSG 2020 AGM


The annual general meeting of Darlington FC Supporters Group will take place at 7.30pm on Monday 9th November 2020. In view of the restrictions imposed by the COVID-19 pandemic and the relaxations granted by Government, the meeting will be conducted by on-line conference (Zoom).
 
Members of the DFCSG can vote for their choice of candidates for election to the DFCSG Board via their YourClub account - click here to go to Polls or log into Your Account and then scroll to the bottom of the page and click on ‘Polls’.
 
The personal statements of the seven nominees can be reviewed by logging into Your Account and then scrolling to the bottom of the page and clicking on ‘Documents’, where you will find the ‘Nominees Personal Statements’ listed.
 
The ballot will open on Sunday 25th October and will close at 6pm on Sunday 8th November.

To attend the meeting you would need to pre-register by notifying our Membership Secretary at membership@darlingtonfc.org, by 6pm on Friday 6th November at the latest.
 
If you are unable to attend the AGM, then if you wish, you may appoint a proxy to attend on your behalf. You would need to provide our Membership Secretary with the details of who will be attending in your stead by 6pm on Friday 6th November at the latest. If you wish, you may appoint the Chair of the meeting to be your proxy.
 
Log-in details for the meeting will be emailed to attendees on Sunday 8th November. Please note that details will only be sent to those that have pre-registered.
 

Secretary’s Report and Draft Accounts

The Secretary’s Report is presented as the ‘Committee Report’ within the Draft Accounts and these can be viewed/downloaded by logging into YourClub and then scrolling to the bottom of the page and clicking on ‘Documents’ in Your Account, where you will find the ‘Draft Accounts’ listed.
 

Appointment of Directors

In accordance with the constitution of Darlington FC Supporters Group (DFCSG), board members who have served for three years are required to retire at the Annual General Meeting. Chris Stockdale, Andrew Matthews and Malcolm Cundick are the members of the current board that are in this situation. Lee Kilcran and Joe Peacock recently announced their decisions to stand-down. In addition, David Steel’s co-option to the Board will end at the AGM. One vacancy at the 2019 AGM was not filled. 
 
The constitution of DFCSG makes provision for a board of up to twelve directors and therefore there are vacancies for up to six additional board members to be elected at the AGM.
 
Nomination forms were circulated on 16/17th September and nominations were received from seven candidates by the deadline of Monday 5th October and they are:

- Malcolm Cundick
- David Steel
- Joanne Cameron
- Liam Tinkler
- Ryan Jones
 
Consequently, a ballot of members will be conducted in advance of the AGM. The personal statements of the seven nominees can be reviewed by logging into Your Account and then scrolling to the bottom of the page and clicking on ‘Documents’, where you will find the ‘Nominees Personal Statements’ listed. The ballot will open on Sunday 25th October and you will be able to access the ballot by logging into YourClub and then scrolling to the bottom of the page and clicking on ‘Polls’. The ballot will close at 6pm on Sunday 8th November.
 

Resolutions for DFC AGM

Darlington Football Club’s Annual General Meeting will take place after the Annual General Meeting of Darlington FC Supporters Group has taken place on a date still to be decided. However, the Football Club’s AGM will follow its usual format and will include:
 
  1. Re-appointment of retiring Director on rotation (this year it will be Dave Johnston); and
  2. Ordinary and a special resolutions to allow DFC to allot shares to DFCSG in return for their donations, together with any individuals who have loaned money to DFC and have subsequently agreed to exchange their debt for equity.
At the DFCSG AGM, the DFCSG Directors will be seeking a mandate from members to allow the representative of DFCSG to vote in favour of the above resolutions at Darlington Football Club’s AGM.
 

Conduct of the AGM

As DFCSG Chair Chris Stockdale has applied for re-election to the DFCSG Board, he will play no part in the proceedings at the AGM. Instead, Jon Saddington has been appointed as Chris's deputy and he will conduct the meeting.
